MEDISTIK Inc. Affiliate Program Policies

By participating in the MEDISTIK Inc. Affiliate Program (“Program”), you agree with the terms and policies set forth in the agreement (“Agreement”) below. Please read the entire Agreement. It is a legal agreement between you and MEDISTIK Inc.

By submitting the online application, you are agreeing that you have read and understand the terms and policies of this Agreement, and that, if MEDISTIK Inc. accepts your application, you agree to be legally responsible for each and every term and policy.

Your participation in the Program is solely for the purpose of legally advertising MEDISTIK Inc. to receive a commission on products purchased by your referrals.

This Agreement begins when MEDISTIK Inc. accepts you into the Program and will end when your participation is terminated.

MEDISTIK Inc. may change the Program or this Agreement at any time without notice. If any change to the Program or the Agreement is unacceptable to you, your only choice is to terminate your participation. Your continuing participation in the Program will constitute your acceptance of any change.

You or MEDISTIK Inc. may suspend or terminate your participation in the Program at any time for any reason. You are only eligible to earn commissions while you are participating in the Program in accordance with the terms of this Agreement.

Commissions

When a customer uses your link or code, you will receive a commission on every order within the cookie window, per the terms displayed with this offer. This is calculated on the net sale for product only. Sales/discounts may occur, that will be reflected in the payout. MEDISTIK Inc. will pay you a commission on products purchased by your referrals each month.

MEDISTIK Inc. uses the Refersion affiliate tracking system owned by Refersion, Inc. to tabulate and track sales and commission payments due to our affiliates after the tracking process and purchases are completed. Through the Refersion website, you will have access to information we use to determine commissions we owe you.

There is no maximum commission limit.

If your referral returns a product or if the referral requests a chargeback on the purchase, you will not receive a commission. MEDISTIK Inc. returns all money to your referral, so you must also return your portion of the sale.

MEDISTIK Inc. reserves the right to increase or decrease commission rates from time to time as it sees fit as well the right to refuse service to any referral.

Commission Limitations

You’ll receive commissions for every purchase made by a new customer who is not in an active sales process with us at the time of the affiliate link click, or use of your code.

Affiliate links rely on cookies to track sales so the customer cannot have cleared their cookies.

Only affiliate links and codes can be used to track sales. Incorrect use of affiliate links will cause an inability to properly track referrals.

 Attribution: In the event a single customer clicks two different affiliate links, the first affiliate gets the credit.

Reversals

MEDISTIK Inc. reserves the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in these terms and policies.

Additionally, if we ask you for clarification or more information on any orders or clicks that we suspect may be in violation of our terms and policies, we expect that you will respond in a timely and honest manner. Below are violations of our communications policy.

1) You are not forthcoming, you are intentionally vague, or you are found to be lying.

2) You are not responsive within a reasonable time period and after multiple attempts to make contact using the information listed in your network profile.

3) You cannot substantiate or validate the source of your traffic to our program with clear and demonstrable proof.

If any of the above apply, then we reserve the right to suspend you from the Program, reverse orders, modify payouts, set your commission to 0%, or immediately terminate your participation in the Program. We know that many violations are a result of automated processes; however, it is incumbent upon each affiliate to ensure that it has the appropriate checks and balances in place to address such issues proactively and to adhere to the terms and policies of this Agreement.

Assets

The tools, products, and creative assets (collectively "Assets") that MEDISTIK Inc. provides to you include valuable information vital to the success of the Program, including a tracking code that MEDISTIK Inc. uses to attribute referrals to you.

MEDISTIK Inc. grants to you a nonexclusive, non-transferable license ("License") to use Assets as specified under the terms and policies of this Agreement. The term of the License shall expire upon your departure from the Program or termination of this Agreement.

You will use the Assets as MEDISTIK Inc. instructs:

1) You agree that you will not corrupt, modify, or disable the tracking functionality in the Assets.

2) You will not alter, add to, subtract from, or otherwise modify the Assets as MEDISTIK Inc. provides them unless you obtain prior written consent from MEDISTIK Inc.

3) You may only use the Assets for the purpose of promoting MEDISTIK Inc. and its products.

4) MEDISTIK Inc. retains all rights, ownership, and interest in the Assets, and in any copyright, trademark, or other intellectual property in the Assets. Nothing in this Agreement shall be construed to grant you any rights, ownership, or interest in the Assets, or in the underlying intellectual property, other than the License to use Assets as granted in this Agreement.

5) You will not make any claim to ownership of the Assets, or of the copyright, trademark, or other intellectual property therein.

6) You will not publish or otherwise distribute any other advertising materials that reference MEDISTIK Inc. unless MEDISTIK Inc. gives prior written consent to the distribution of such materials.

Email

Under no circumstances shall you send commercial electronic mail messages as defined in the Federal spam law, CAN-SPAM Act of 2003 (“Act”), with respect to the MEDISTIK Inc. affiliate program.

MEDISTIK Inc. reserves the right to collect, withhold, or cancel any and all compensation related to commercial electronic mail messages you send.

You may send transactional or relationship messages as defined in the Act.

Social

You’re encouraged to use your affiliate links and promote your discount code from your personal, professional or corporate accounts via blogs, Facebook and Facebook Groups, Twitter, Instagram, Snapchat, and other social media platforms is permitted, following these general guidelines and assets we’ve provided you in the affiliate tool


Do Not:

Use false or misleading statements on the benefits of using of MEDISTIK Inc. products. It is your responsibility to be aware of all cautions and warnings and recommendations regarding the use of MEDISTIK Inc. products as found on each of the product pages on Medistik.com as well as the product labels.

Modify or adjust the MEDISTIK Inc. wordmark or logo in any sort of marketing material you might create, including the creation of any visual badges or dual-logo lockups.

You will not purchase ads to share your affiliate link that could be considered as competing with MEDISTIK Inc.’s own advertising, including, but not limited to, our branded keywords.

 

You ARE PROHIBITED from posting your affiliate links on MEDISTIK Inc.’s Social Media pages in an attempt to turn those links into affiliate sales.

 

FTC Disclosure Requirement (US ONLY)

You shall include a disclosure statement within any and all pages/posts where affiliate links for our affiliate program are posted as an endorsement or review, and where it is not clear that the link is a paid advertisement. This disclosure statement should be clear and concise, stating that we are compensating you for your review or endorsement. If you received the product for free for review, this also must be clearly stated in your disclosure.

Website/Social platform Restrictions

Your participating website(s) or use of social platforms may not:

Infringe on our or anyone else’s intellectual property, publicity, privacy, or other rights.

Violate any law, rule, or regulation.

Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography, or sexually explicit or adult-related materials.

Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer-programming routines that are intended to damage, interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.

Contain software or use technology that attempts to intercept, divert, or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website.

Policies that don’t fit into the other buckets

1. Survey Participation: We would encourage you to participate in any Affiliate-specific surveys, as we request.

2. Sharing Placements: When asked, you’ll share the places you’ve used your affiliate link. This includes, but is not limited to, links, screenshots, and email sends.

Liability

MEDISTIK Inc. will not be liable for any loss of profits or costs, or for any direct, indirect, special, incidental, or consequential damages, including costs associated with the procurement of substitute goods or services (whether MEDISTIK Inc. was or should have been aware or advised of the possibility of such damage), arising out of or associated with any loss, suspension, or interruption of service, termination of this Agreement, use or misuse of the Assets, or other performance of services under this Agreement.
